Welcome to CREMB United. Please read these Terms and Conditions carefully before using the website or subscribing to the email digest service operated by CREMB United LLC. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the Service.

 

These Terms and Conditions govern your use of the website crembunited.com and the email digest service operated by CREMB United LLC, a Wyoming limited liability company (“CREMB United”, “we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms.

Platform Ownership & Entity Status

CREMB United is a platform owned and operated exclusively by CREMB United LLC. All services, content, and features provided through crembunited.com are the sole property of CREMB United LLC. Any reference to “the company” within these terms refers directly to CREMB United LLC.

Membership Eligibility & Verification

  • Industry Professionals Only: CREMB United LLC is a private, business-to-business (B2B) network exclusively for commercial real estate mortgage brokers, lenders, and originators. It is strictly closed to retail borrowers and the general public.

  • Vetting: We reserve the right to vet, verify, and approve or deny membership to any applicant at our sole discretion. If we determine you are not a licensed or active industry professional, your subscription will be immediately terminated.

  • Spam Prevention Efforts: We make reasonable administrative efforts to verify that applicants are real, active industry professionals solely for the purpose of keeping the network secure and preventing unwanted spam.

  • No Background Checks: CREMB United LLC does not conduct background checks, criminal checks, credit checks, or formal licensing validations on its members. We do not investigate the character, track record, or integrity of any user on the platform. By using this Service, you acknowledge that you are interacting with other independent third parties at your own risk.

Subscription Fees, Billing, and Cancellations

  • Pricing: Access to the CREMB United LLC email digest and submission network is billed on a recurring monthly subscription fee of $29/month.

  • Billing Cycle: Your subscription automatically renews every month on the date of your initial sign-up. Fees are billed via our secure third-party payment processor (Stripe).

  • Cancellation: You can cancel your subscription at any time by contacting support. Upon cancellation, you will retain access to the Service until the end of your current paid billing period.

  • Refunds: All subscription payments are final and non-refundable.

Submission Rules & Data Privacy

  • No Sensitive Information: When submitting a stalled or dropped loan file to the network, you must NEVER include sensitive personal data, such as borrower names, social security numbers, exact corporate asset names, or precise street addresses.

  • Anonymity: You agree to only submit raw financial criteria, general property types, macro-locations (city/state), and the broad metrics of the transaction. CREMB United LLC is not responsible for any accidental disclosure of sensitive client data if you choose to include it in your submission text.

  • Mandatory User Truthfulness: By submitting any transaction, listing, or post to CREMB United LLC, the submitting broker explicitly accepts full personal and legal responsibility for the accuracy and truthfulness of all details provided. You guarantee that the underlying commercial scenario is real, active, and described honestly.

  • Indemnification Against Dishonesty: CREMB United LLC is not liable for any inaccurate metrics, misrepresentations, fraudulent claims, or general dishonesty contained within a user-submitted post. If a dispute or legal issue arises due to a false, misleading, or dishonest listing, the broker who posted the information shall be held directly and solely liable. You agree that any legal action, claims, or lawsuits resulting from a listing must be brought strictly against the submitting broker, and you agree to fully indemnify and hold CREMB United LLC harmless from any such claims.

  • Processing & Activation Timelines: CREMB United LLC makes every effort to process and upload submitted deals within 24 to 48 hours of submission; however, in rare cases, due to high volume, verification requirements, or technical constraints, it can take up to 5 business days for a post to get sent out.

Website Availability & Maintenance

  • Downtime & Accessibility: CREMB United LLC strives to keep the Website accessible 24/7. However, we reserve the right to take the site offline for short periods for scheduled maintenance, updates, or technical repairs. We are not liable for any loss of business, lost revenue, or perceived missed opportunities during these temporary downtimes.

Right to Modify Content and Layout

  • Platform Discretion: CREMB United LLC reserves the right to modify, reformat, summarize, or alter the layout and presentation of any submitted deal metrics to fit our standard email digest format and website design. We reserve the right to edit descriptions for clarity, spelling, grammar, or to ensure absolute compliance with our anonymity rules, without changing the core underlying financial metrics of your deal.

Direct Interactions & Disclaimers​

  • Advertising Service Only: You explicitly acknowledge that CREMB United LLC operates purely as a passive advertising service and informational bulletin. We do not act as a broker, lender, advisor, underwriter, or intermediary. We do not participate in negotiations, package files, or facilitate the transaction details.

  • No Commission Sharing (Success Fees): CREMB United LLC takes 0% of your transaction revenue. All financial arrangements, co-brokering agreements, and referral fees are handled directly between you and the connecting broker.

  • No Guarantee of Execution: CREMB United LLC does not guarantee that a submitted deal will find a lender, receive offers, or close. Furthermore, we do not guarantee the credentials, licensing, or financial capacity of the brokers who contact you through the platform. It is your sole responsibility to conduct proper due diligence before entering into a co-brokering agreement.

Prohibited Conduct

As a member of CREMB United LLC, you agree not to:

  • Share, forward, or leak the private email digest contents to non-paying members, retail consumers, or public forums.

  • Use member contact information gathered from the digest to send unrelated spam, marketing blasts, or non-CRE mortgage inquiries.

  • Harass, defraud, or act deceptively toward other members of the community.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CREMB United LLC, its officers, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or relating to your use of the platform. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from co-brokering arrangements, failed transactions, or disputes between members. In no event shall CREMB United LLC, its founders, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages—including without limitation, loss of profits, commissions, data, or client relationships—resulting from your use of or inability to use the Service, or from any transaction or dispute that occurs between you and another network member.

Indemnification

You agree to defend, indemnify, and hold harmless CREMB United LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) resulting from or arising out of your use of the platform, your violation of these Terms, or your breach of any representation or warranty made regarding a deal submission.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. You agree that any legal action or proceeding between CREMB United LLC and you for any purpose concerning these Terms shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Wyoming.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice via email prior to any new terms taking effect.
